EVENT TERMS:

It is proposed that 2017 ZDP Shareholders be offered the opportunity to convert, by way of re-designation, their shares into a new class of 2022 Zero Dividend Preference Shares.

The rollover value of the 2017 ZDP shares will be determined by the Directors immediately prior to publication of the prospectus having regard to the price at which the 2017 ZDP shares have been trading in the market.

The exchange ratio will be 1.6514 new shares for every 1 share held.

EVENT OPTIONS:

Option 1 - Convert shares into 2022 Zero Dividend Preference Shares.
